Microw is an Enter IT Limited brand (‘we‘, ‘us‘, ‘our‘ or Microw)

You (‘you‘) are accessing Microw Videos (“Microw Courses”) on an Enter IT owned Portal on the terms of this Licence

MICROW COURSES ARE PROVIDED AS ‘SOFTWARE AS A SERVICE’ (SAAS) WHICH ALLOWS THE CONTENT AND SOFTWARE TO BE DELIVERED ONLINE VIA A BROWSER. THE COURSES ARE ACCESSED VIA A MICROW PORTAL WHICH IS HOSTED ON OUR SERVERS (“PORTAL’).

THERE ARE TWO WAYS OF SUBSCRIBING TO THE MICROW COURSES; THROUGH A BUSINESS ACCOUNT THAT YOUR EMPLOYER HAS ENTERED INTO WITH US; OR THROUGH ONE OF OUR MICROW PARTNERS WHOM HAS PERMITTED TO YOU ACCESS RIGHTS – WHICHEVER ONE APPLIES TO YOU – WE REFER TO THEM AS A ‘MICROW COURSE ARRANGER‘. This Licence is subject in all cases to the terms we have in place with your Microw Course Arranger.

All intellectual property rights in and to the Microw Courses, this Portal and any other materials provided by us for the purposes of this agreement will remain owned absolutely by us or where applicable our licensors.  For the avoidance of doubt, “intellectual property rights” means all vested contingent and future property rights including but not limited to copyright, trademarks, service marks, design rights, (whether registered or unregistered), patents, know how, trade secrets, inventions, get up, database rights and any applications for the protection or registration of these rights and all renewals and extensions thereof existing in any part of the world whether now known or in the future created.

You acknowledge we have invested and continue to invest substantial time and resources in the compilation of the Microw Courses and the construction of this Portal, which are both an original intellectual creation.

Your use of the Microw and access to this Portal is governed by the licence terms herein.

By ticking the “”I agree”” box and clicking on the ‘SUBMIT’ button below or watching any of the Microw Courses on this Portal you are confirming that you accept and agree to the terms of Enter IT Limited’s licence (‘Licence’) as set out below.

If you do not accept our licence terms, you will not be able to view any of the Microw Courses and must leave this Portal immediately.

WHO WE ARE. This Portal and the Microw Courses on it are provided by Enter IT Limited (we are a company registered in England and Wales under company number 03887613). We are registered for VAT under number 749 8019 92.

YOUR PRIVACY. Your privacy is important to us. Visit https://microw.com/privacy-policy to have a look at our Privacy Policy – it explains what information we obtain about you, how we use and protect it and your legal rights over your information.

1 User name and password. You will be given or invited to choose your own username and password so that you can watch certain Microw Courses on this Portal. You are responsible for keeping your username and password secret and for making sure they are not used by anyone else. Any default will lead to an immediate termination of your access rights without further notice to you.

2 Who owns the Microw Courses. We (or our licensors) own all of the content in the Microw Courses and on this Portal. You may not do anything to change that and won’t allow anyone else to change that either.

THIS IS REALLY REALLY IMPORTANT TO US SO, IF YOU BREACH ANY OF THE TERMS SET OUT HEREIN, OUR LAWYERS MAY GET INVOLVED AND YOU MAY INCUR DAMAGES FOR YOUR BREACH WHICH MAY INCLUDE LEGAL FEES TO SORT OUT THE PROBLEM.

3 What do you pay us for Microw Courses or access to the Portal. Nothing. If your employer has an account with us, they pay the charges that cover your Licence. If you obtained your Licence from a Microw Partner, you pay them the amount you have agreed with them.

4 What are you allowed to do on the Portal and with the Microw Courses. This is a non exclusive non transferable licence. You are allowed to display the materials on this Microw Portal on a computer screen, tablet or smart phone and may only use the Microw Content and Portal for training purposes within your organisation.

5 What are you not allowed to do on this Portal or with Microw Courses. You agree not to:

(a) copy, reproduce, store, share, transmit, modify, create derivative works from all or any of the
Microw Courses or any part of this Portal or the materials on it unless you have our prior written permission.

Remember – this also means that you can’t put any of them on YouTube or similar platform, share them with your friends (on Facebook or any other social media, send them by email, share them on a disk or any other way).

(b)  use any of the Microw Courses, the Microw Portal or any of the materials on it for:

  • anything unlawful
  • commercial exploitation
  • anything or in any way that may give a false or misleading impression of us, our staff or of what we do

(c) use, upload or transmit:

  • anything that is defamatory, offensive, obscene or otherwise unlawful
  • anything that may cause offence or distress or which might affect or infringe the rights of anybody else
  • any device, software, file or mechanism which may interfere with the proper operation of this Portal or our systems

(d) decompile, disassemble or reverse engineer (or attempt to do any of them) any of the Microw Courses, or other materials on this Portal

(e) do anything that may interfere with or disrupt this Portal or our service

(f) encourage or allow anyone else to do any of the above or act through or with such party in relation to any of the above.

This is quite a long list so make sure you have read it carefully so you know the things you can’t do. This is really really important to us.

6 Quality of the Microw Courses and the Portal. We don’t give any assurance that the Microw Courses, the Portal or anything on it are suitable for your needs. We take a lot of care to make sure that Microw Courses and all other material on the Portal is correct and suitable for use. Mistakes sometimes happen and we don’t make any promises that the Microw Courses or anything on the Portal will be accurate, complete or current or that it will be secure, error or virus free. We won’t be responsible and won’t have to compensate you or your organisation if there is a problem with any of them.

7 How you get support. Contact your Microw Courses Arranger and they will sort out support for you.

8 Portal availability. We give no guarantee that this Portal will be uninterrupted or error free. Sometimes we will modify, suspend or withdraw some or all Microw Courses or the whole or any part of the Portal or anything on it at any time without notice and we won’t be responsible and won’t have to compensate you or your organisation if we do.

9 Links from this Portal. Sometimes, we may have links from the Portal to other people’s websites. We only have the links as a convenience for you and we have no control over the websites (or the people who operate them). If you click on the links it is at your own risk and we won’t be responsible and won’t have to compensate you or your organisation if there is a problem with any of them.

10 Links to this Portal. We know our Microw Courses are popular and it may be tempting to link to this Portal from other websites. You are not allowed to do that under any circumstances.

11 Checking up on what you do on the Portal. We may monitor what you do and what you watch on the Portal and may take any action we think appropriate if we think you may be in breach of this Licence. Some examples of the action we may take are: suspending, setting conditions to or terminating your access and/or notifying your Microw Courses Arranger or telling any authorities or relevant regulators of your activities.

12 Security. We use firewalls and other security technology to protect your information (see our Privacy Policy at https://microw.com/privacy-policy for more details). However, things sent over the Internet are never completely private or secure which means there is a risk that any message or information you send to us may be intercepted and potentially read by someone you didn’t expect it to be seen by. We won’t be responsible and won’t have to compensate you or your organisation if you send us anything electronically – you do so entirely at your own risk.

13 Accuracy of information. We take care to ensure that all the Microw Courses and the materials on the Portal are accurate. However, we live in a fast moving world and things are always developing which means that sometimes things may be out of date. Technical information, technology tools and the ways that businesses do things change frequently and the content on the Portal, in any Microw Courses and in other items offering guidance have been prepared for general interest only and are not a substitute for specific technical or other professional advice.

14 Use outside of the United Kingdom. We have created everything for use only in mainland United Kingdom and we don’t give any assurance that you can lawfully watch any Microw Courses or use any materials or view the things on the Portal anywhere else.

IF YOU CHOOSE TO ACCESS ANY MICROW COURSES FROM OUTSIDE MAINLAND UNITED KINGDOM, YOU DO SO AT YOUR OWN RISK AND YOU ARE RESPONSIBLE FOR COMPLIANCE WITH THE LAWS OF THE RELEVANT JURISDICTION.  WE ONLY WARRANT AND REPRESENT THE MICROW COURSES COMPLY WITH ALL APPLICABLE STATUTES, LAWS AND REGULATIONS APPLICABLE WITHIN MAINLAND UNITED KINGDOM ONLY.

15 If things go wrong. We don’t expect any problems but, just in case, all of your remedies are against your Microw Courses Arranger. If however, a court decides that you can make a claim against us, neither you nor we will be liable for any indirect or consequential loss, we are not liable for loss of profit, loss of business or loss of opportunity, loss of or damage to data or damage to goodwill as a result of your use of the Microw Courses, the Portal or any of the materials on it. Neither you nor we exclude any liability for death or personal injury caused by our negligence (or for anything else for which the law doesn’t let us exclude or limit liability).

16 What happens if you or your Microw Arranger goes out of business. If your organisation or your Microw Arranger goes out of business or it looks likely that it will or it makes any arrangements with creditors or becomes insolvent (or a trustee, receiver, administrator or similar is appointed) this Licence will automatically expire without further notice or liability to you.

17 What happens after the end of this Licence. At the end of the Licence, we will disable your access to the Portal and Microw Courses.

18 Rights of others. We are entering into this Licence because a Microw Courses Arranger has agreed to provide access to certain Microw Courses to you via the Portal. Only we have rights to enforce this Licence. This licence will expire under any circumstances where we have exercised corresponding rights against your Microw Course Arranger.

19 Delayed action. If we delay or decide not to enforce this Licence, it won’t stop us taking action later and doesn’t mean we won’t take action for any later breach.

20 The law and disagreements. This Licence is to be read and understood under English law. If we have a disagreement that can’t be resolved between us, we both agree that the English courts will have a non-exclusive jurisdiction to deal with it.

21 It’s all about you! This Licence is provided by your Microw Courses Arranger just for you and you can’t transfer any of your rights or obligations under it to anyone else (unless we say you can in writing).

22 Taking action if you are not happy. If you are not happy with any of the Microw Courses or anything on the Portal, your rights and remedies are against your Microw Courses Arranger.
